AI Can't Do That Yet™ is an AI implementation agency. We design, build, and deploy autonomous AI agents, custom workflow automations, and intelligent systems for businesses. Our services include:

• AI Audits: Assessment of your current operations, tools, and workflows to identify AI implementation opportunities.
• Implementation Projects: Custom AI agent development, workflow automation, agentic system design, and integration work.
• Monthly Retainers: Ongoing AI support, maintenance, optimisation, and new feature development.
• Consulting & Training: Strategic guidance on AI adoption and team enablement.

Specific deliverables, timelines, and pricing for each engagement will be outlined in a separate proposal or statement of work ("SOW") agreed upon by both parties before work begins.

• 2.1All projects begin with a discovery call or AI audit to understand your needs.
• 2.2We will provide a written proposal or SOW detailing the scope, deliverables, timeline, and cost.
• 2.3Work begins only after both parties agree to the proposal and payment terms are met.
• 2.4Changes to scope after agreement require written approval from both parties and may affect pricing and timelines.

• 3.1Deposits: A 50% deposit is required before work begins on any project, unless otherwise specified in the SOW.
• 3.2Final Payment: The remaining balance is due upon project completion and delivery of final deliverables.
• 3.3Monthly Retainers: Retainer fees are billed at the start of each month and are due within 7 days of invoice.
• 3.4Payment Methods: We accept bank transfers, UPI (for India-based clients), and card payments via Stripe and Razorpay. Details are provided at the time of invoicing.
• 3.5Late Payments: Invoices unpaid for more than 14 days may result in work being paused. We reserve the right to charge a late fee of 1.5% per month on overdue amounts.
• 3.6Refunds: Deposits are non-refundable once work has begun. If we are unable to deliver the agreed-upon services, we will issue a prorated refund for undelivered work.
• 3.7Taxes: All fees are exclusive of applicable taxes. You are responsible for any taxes imposed by your jurisdiction.

• 4.1Client Ownership: Upon full payment, you own all custom deliverables created specifically for your project.
• 4.2We Retain: We retain ownership of our pre-existing tools, frameworks, templates, and general-purpose code. We grant you a non-exclusive, perpetual licence to use any such components included in your deliverables.
• 4.3Portfolio Rights: We reserve the right to reference the general nature of work performed in our portfolio, without disclosing confidential details. You may opt out in writing.
• 4.4Third-Party Tools: Deliverables may rely on third-party platforms and AI APIs. Your use of those platforms is governed by their respective terms of service.

• 5.1Both parties agree to keep confidential any proprietary information shared during the engagement.
• 5.2Confidentiality obligations survive termination for two (2) years.

• 6.1While we apply expert knowledge and best practices, we do not guarantee specific outcomes, revenue increases, or performance metrics from AI implementations.
• 6.2We guarantee professional, high-quality delivery of the agreed-upon scope as defined in your SOW.

• 7.1You agree to provide timely access to necessary information, systems, and team members required for project delivery.
• 7.2Delays caused by your failure to provide required access may extend project timelines without entitlement to refund.

• 8.1You agree not to use our services for any illegal, unethical, or harmful purposes including spam, fraud, disinformation, or surveillance without consent.

• 9.1Baryon & Anima Pvt Limited's total liability is limited to the total fees paid for the specific engagement giving rise to the claim.
• 9.2We are not liable for indirect, incidental, special, consequential, or punitive damages arising from the use of our services or deliverables.

• 10.1By Client: You may terminate with written notice. Fees for completed work are non-refundable.
• 10.2By Us: We may terminate if payment is overdue by 14+ days or you breach these terms.
• 10.3Retainers: Either party may cancel with 30 days' written notice.

• 11.1Both parties agree to attempt good-faith negotiation before any formal proceedings.
• 11.2If negotiation fails, disputes will be resolved through binding arbitration under Indian law, with jurisdiction in Bengaluru, Karnataka, India.
• 11.3For international clients, we are open to mutually acceptable arbitration venues.

We may update these Terms at any time. Changes will be posted on our website at aicantdothatyet.today. Continued use of our services after changes are posted constitutes acceptance of the updated Terms.
